Orapera Terms of Service

Commercial terms and service agreements governing Orapera's B2B travel operating system, flat-rate commitment subscription plans with zero booking commissions, customer intellectual property ownership, and platform operational boundaries.

OUR TRANSPARENT SAAS COMMITMENT

Flat Subscription Fees · Zero Booking Commissions

Orapera operates purely as high-performance enterprise software. We charge a transparent, flat subscription fee based on your chosen commitment period (3-Month, 6-Month, or 12-Month). Orapera never takes a percentage cut, per-booking fee, or per-pax transaction royalty on the trips, tours, or corporate incentive programmes you sell.

1. Overview & Acceptance of Terms

These Terms of Service (“Terms” or “Agreement”) form a legally binding contract between Orapera Software Technologies (“Orapera”, “we”, “us”) and the business entity or person subscribing to or using the SaaS Services (“Customer”, “you”).

By subscribing to a plan, creating an administrative workspace, accessing our web application, or executing an order form, you represent and warrant that you possess the full legal authority to bind your organization (e.g. DMC, MICE company, tour operator, or travel agency) to these Terms. If you do not agree, you must not use or access the SaaS Services.

2. Organization Workspace, User Roles & Credentials

When onboarding with Orapera, a dedicated tenant workspace is provisioned for your organization. You are responsible for administering authorized user accounts, assigning appropriate role privileges (e.g., Sales Designer, Operations Manager, Finance Director), and ensuring the confidentiality of all login credentials.

  • Responsibility for Activity: Customer is solely liable for all activities, itinerary creations, voucher issuances, and rate modifications occurring under its Authorized User accounts.
  • Credential Protection: You must mandate strong passwords and ensure accounts are not shared between multiple individuals. You agree to notify Orapera immediately at security@orapera.com if you detect any unauthorized access or compromise.

3. Commitment Plans, Transparent Pricing & Billing

Orapera provides enterprise travel software under commitment-based subscription structures that reward sustained partnership with discounted monthly rates:

  • 12-Month Plan (Recommended): $99/month (billed annually as $1,188 total commitment). Unlocks our lowest monthly rate with 50% savings compared to standard short-term options.
  • 6-Month Plan: $149/month (billed semi-annually as $894 total commitment). Balanced flexibility for mid-sized operators.
  • 3-Month Plan: $199/month (billed quarterly as $597 total commitment). Ideal for pilot seasons and boutique travel designers.

All platform features and 10 modules (AI Itinerary Builder, Client Portal, CRM, Inventory, Costing, Invoicing, Vouchers) are fully included in every commitment plan without tiered module lockouts.

  • Zero Booking Commissions: Orapera does not charge any transaction fees, gross booking value percentage, or per-passenger royalties. 100% of your tour margins, commission from suppliers, and client markups remain yours.
  • Automatic Renewal: Subscription commitments automatically renew for successive terms equal to the initial commitment period unless cancelled in writing or through your workspace billing dashboard prior to the end of the current term.
  • Taxes & Currency: Prices are quoted exclusive of applicable sales tax, VAT, or GST, which will be calculated and collected where legally required based on your billing jurisdiction.

4. Customer Data Ownership & Confidentiality of Net Rates

You retain 100% full legal, commercial, and intellectual property ownership of all Customer Content uploaded to Orapera, including:

  • Bespoke day-by-day itinerary copy, destination storytelling, and curated routing.
  • Negotiated supplier net rates, allotment contracts, and guide fee schedules.
  • Client CRM tickets, passenger manifests, corporate attendee rosters, and inquiry leads.
  • Profit margin formulas, markups, and internal costing calculations.

Orapera’s Confidentiality Covenant: Orapera holds your supplier net rates and proprietary pricing models in strict confidence. We will never disclose, benchmark, publish, resell, or distribute your net contracts to competitors, hotel chains, or third-party aggregators.

5. AI Itinerary Builder Terms & Zero Model Training

Orapera grants you a non-exclusive, worldwide license to use our integrated generative AI tools to compose itineraries, synthesize travel proposals, and match destination inventory.

  • Zero Foundation Training: As detailed in our Privacy Center, Orapera warrants that Customer Data, itineraries, and net supplier pricing will never be utilized to train, retrain, or improve public or shared foundational AI models.
  • Human Verification Duty: Generative AI output is intended to accelerate workflow, not replace professional travel expertise. Customer acknowledges responsibility to review, verify, and validate all generated itinerary timing, transit feasibility, opening hours, and pricing before presenting proposals to clients or issuing supplier confirmations.

6. Platform Acceptable Use & Fair Operational Limits

You agree to use Orapera solely for legitimate B2B travel business operations and in compliance with all applicable laws. You shall not:

  • Reverse-engineer, decompile, disassemble, or derive the source code of Orapera’s platform.
  • Use automated scrapers, spiders, or bots to harvest data from Orapera without explicit written consent.
  • Resell, sublicense, or rent access to the Orapera platform to unaffiliated third parties without an enterprise reseller agreement.
  • Upload unlawful, infringing, fraudulent, defamatory, or harmful content or malware.
  • Attempt to breach or probe the security or tenant database isolation mechanisms of the platform.

7. Independent Ground Operations & Travel Supplier Disclaimer

CRITICAL LEGAL DISTINCTION: Orapera is exclusively a cloud software technology provider. Orapera is not a travel agency, tour operator, common carrier, accommodation provider, event planner, or travel insurance underwriter.

All ground travel services (including hotel bookings, coach charters, flight segments, boat transfers, restaurant reservations, guided excursions, and event admissions) are arranged directly between the Customer and independent third-party Ground Suppliers, or between Customer and its end clients.

  • Zero Operational Liability: Orapera bears zero legal or financial liability for any supplier defaults, hotel overbooking, flight cancellations, weather delays, physical injuries, illnesses, property loss, labor strikes, or force majeure events occurring during any trip or tour managed on the platform.
  • Supplier Contracts: Customer is solely responsible for verifying the licensing, safety records, and insurance coverage of all third-party ground suppliers contracted through or tracked within Orapera.

8. Service Level Agreement (SLA) & Enterprise Support

We understand that travel operations run 24 hours a day across global time zones. Orapera targets an annual platform uptime of 99.9% for our core web application, proposal delivery engines, and Client Portals, excluding scheduled maintenance.

  • Scheduled Maintenance: Maintenance windows requiring brief service interruptions are scheduled during off-peak hours with advance in-app or email notice.
  • Technical Support: All active subscription tiers include priority technical support via email and ticketing. Our support team operates during standard business hours with emergency escalation channels for critical dispatch outages.

9. Limitation of Liability & Mutual Indemnification

To the maximum extent permitted by applicable law, neither party shall be liable to the other for any indirect, incidental, special, punitive, or consequential damages (including loss of business profits, lost travel bookings, or reputational harm), even if advised of the possibility of such damages.

Aggregate Liability Cap: Orapera’s total cumulative liability arising out of or related to this Agreement shall not exceed the total subscription fees actually paid by Customer to Orapera in the twelve (12) months preceding the incident giving rise to liability.

Mutual Indemnification: Orapera agrees to defend and indemnify Customer against third-party claims alleging that the SaaS Services infringe valid intellectual property rights. Customer agrees to defend and indemnify Orapera against third-party claims arising from Customer Content, passenger disputes, or breach of Ground Supplier contracts.

10. Term, Cancellation & Data Portability Guarantee

This Agreement commences on the date you subscribe and continues for the duration of your chosen Commitment Plan (3, 6, or 12 months).

  • Termination for Cause: Either party may terminate immediately if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days of receiving written notice.
  • Commitment Term Fulfillment: Subscriptions are non-refundable during an active commitment term except in cases of uncured material breach by Orapera.
  • Data Portability Guarantee: Following cancellation or expiration, you have thirty (30) days of read-only access to export all itineraries, client records, and supplier catalogs in CSV, JSON, and PDF formats before scheduled data zeroization.

11. Modifications to Platform & Terms

We continually enhance Orapera by adding modules, AI improvements, and feature updates. We may update these Terms to reflect legislative changes or platform enhancements.

For material modifications, we will provide at least thirty (30) days advance notice via email to your registered workspace administrator or via an in-app notice banner. Continued use of Orapera following the effective date of updated terms constitutes acceptance.

12. Governing Law, Dispute Resolution & Legal Notices

These Terms are governed by and construed in accordance with the laws applicable to Orapera’s principal commercial jurisdiction, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Prior to commencing formal litigation or arbitration, the parties agree to engage in good-faith informal discussions for a minimum period of thirty (30) days to resolve any commercial disagreement.
